Terms of Use for Reqora, Inc. (“Reqora”)

Welcome to Reqora, an Operating System that allows users to sell and purchase returned items from retailers and e-commerce sellers. By using our platform and services, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use our platform.

Use of Our Platform

You must be 18 years or older to use our platform. If you are under 18 years old, you may only use our platform with the involvement of a parent or guardian.

You agree to use our platform only for lawful purposes and in a manner that does not infringe on the rights of, or restrict or inhibit the use and enjoyment of, our platform by any third party.

By using our platform, you represent and warrant that all information you provide is accurate, current, and complete, and that you will keep your information up to date.

User Content

You retain all rights to the content you submit to our platform. By submitting content, you grant Reqora a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, copy, modify, display, and distribute your content in any media or platform.

You represent and warrant that your content does not infringe on the rights of any third party, including, without limitation, patent, trademark, trade secret, copyright, publicity, or other proprietary rights.

Intellectual Property

The content on our platform, including, without limitation, text, graphics, logos, images, and software, is the property of Reqora or its licensors and is protected by U.S. and international copyright and trademark laws.

You may not use any content from our platform for commercial purposes without the express written consent of Reqora.

Disclaimer of Warranties

Our platform and services are provided “as is” and “as available” without warranties of any kind, either express or implied. Reqora does not warrant that our platform and services will be uninterrupted or error-free, and we will not be liable for any interruptions or errors.

Limitation of Liability

Reqora will not be liable for any damages of any kind arising from the use of our platform and services, including, without limitation, direct, indirect, incidental, punitive, and consequential damages.

Missing or Stolen Items

Reqora does not take any responsibility for missing or stolen items. However, we are committed to assisting our users in resolving such issues. If an item goes missing or is stolen during shipping, users should first contact the postal service or courier company directly to file a claim. We can provide necessary information and documentation to support the claim process, including shipping details and transaction records. While we cannot guarantee the recovery of missing or stolen items, we will make our best efforts to assist users in resolving the issue with the relevant postal or courier service.

Payment

Users agree to pay any applicable fees for the services provided by Reqora, as specified on our platform. All payments must be made in U.S. dollars and are non-refundable, except as required by law.

Sales Cost

Sales costs, including any applicable taxes, will be borne by the seller unless otherwise agreed. Reqora reserves the right to change its fees at any time, and any such changes will be communicated to users in advance. Reqora will decide the cost of the refurbishment based on the time and complexity of the product. The cost information will be placed on Reqora's product-specific page. The user has to agree with this payment; if the user does not take any action or make a payment within 7 days, Reqora has the right to sell the item and share the made profit with the seller.

Withdrawal Money Request

Users can withdraw their partner sales earned money on the 1st and 15th of the month via Reqora's payment request page. The seller has to fill out the Payment Profile to complete this request. Reqora will initiate payment within the cycle. Example: If the payment request is on the 3rd of the month, Reqora will pay on the 15th. If the request is made on the 19th, Reqora will initiate the payment on the 1st of the month.

Refurbishment Deposit Money

The seller has to deposit money if the seller's account has no money in Reqora's payment account. Reqora has the right to not process the request until the payment has been initiated by the seller. After the payment is made, Reqora has 5 business days to process the order.

Counterfeit Products

Reqora does not verify the authenticity of the products listed on our platform. The responsibility for verifying the authenticity of a product lies with the buyer. We recommend that buyers independently verify the authenticity and quality of the products before purchasing. In the event a buyer receives a counterfeit product, we will make our best efforts to assist the buyer in resolving the issue with the seller, but we cannot guarantee the outcome.

After-Sales Support

Reqora offers after-sales support to help resolve any issues users may encounter with their purchases. If users experience problems with their purchased items, they should contact Reqora's customer support for assistance. We will work with the buyer and seller to find a satisfactory resolution, but we cannot guarantee that all issues will be resolved to the satisfaction of all parties.

Receiving the Product

Users are responsible for providing accurate shipping information and for receiving the products they purchase. Reqora is not responsible for any delays or errors in delivery caused by incorrect or incomplete shipping information provided by the user.

Reqora's Decision and Control of the Product

Reqora reserves the right to make final decisions regarding the disposition of products listed on our platform. If there is a dispute over a product, Reqora may take control of the product and decide the best course of action, including issuing refunds, returning the product to the seller, or reselling the product.

Non-Responsive Sellers

If a seller does not respond to our emails or notifications regarding a transaction within a specified time frame (e.g., 14 days), Reqora reserves the right to take control of the item and proceed with selling or processing the item as deemed appropriate. This includes issuing refunds to buyers or listing the item for sale on our platform.

Workflow and Process for Handling Products

Item Arrival: When an item arrives, the Reqora team will prepare it for sale.

Notification to Seller: Reqora will notify the seller about the item and provide a 48-hour decision window for the seller to respond.

Seller Response Yes to Sales: The item will be listed for sale.

Seller Response No to Sales: The item will be marked as ready for return to Amazon.

If the seller does not create a return box within 1 week, Reqora will have the right to list and sell the items.

If the seller confirms box creation but does not provide shipping labels within 1 week, Reqora will have the right to list the products for sale.

Storage Fees: If the seller wants to store the boxes in the warehouse, the following storage fees will apply:

  • Small Box (20cm x 20cm x 20cm): $10/month
  • Medium Box (30cm x 30cm x 30cm): $20/month
  • Large Box (50cm x 50cm x 50cm): $30/month
  • Extra-large Box (100cm x 100cm x 100cm): $50/month

Restocking Fee: If the seller wants to remove their items from sales, they must pay a restocking fee for each item:

  • 1-10 items: $5 per item
  • 10-20 items: $4 per item
  • 20-1000 items: $3.50 per item
  • Individual condition item: $6 per item

Indemnification

You agree to indemnify, defend, and hold harmless Reqora, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including, without limitation, reasonable attorneys' fees, arising from or related to your use of our platform and services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reqora regarding the use of our platform and services. These Terms supersede all prior agreements, understandings, and representations, whether written or oral, regarding the use of our platform and services.

Modification of Terms

Reqora reserves the right to modify these Terms at any time without prior notice. Your continued use of our platform and services after any modification of these Terms constitutes your acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

Termination

Reqora reserves the right to terminate your access to our platform and services at any time and for any reason, without prior notice.

Bulk Items for Reqora Sale

If the seller wants to send bulk items for Reqora sale, Reqora is responsible for selling the items and, after all expenses, sharing 50% of the item income with the product owner. Reqora is responsible for the safety of the items. Product owners can request to withdraw products or request to ship anywhere in the United States. The product owner must give a 2-week notice before the withdrawal or shipment request. The Reqora team has 1 month of preparation time after the notice is given.
